Terms of Service for Buyers

Your rights and responsibilities when purchasing tickets through Equaticket.

These Terms apply to you as a ticket buyer. If you are an event organizer using Equaticket to create events and sell tickets, please refer to the Equaticket Terms of Service for Organizers.


1. Scope and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "Buyer," or "Attendee") and Equaticket ("ATXDC LLC," "Equaticket," "we," "us," or "our") governing your use of the Equaticket platform when purchasing tickets to events.

By purchasing a ticket, or by otherwise using the Service in a manner accompanied by reasonably conspicuous notice of these Terms, you agree to be bound by these Terms.

These Terms may be supplemented by our Privacy Policy. In the event of a conflict, the Privacy Policy governs with respect to privacy matters.

We reserve the right to update these Terms at any time. For material changes, we will attempt to notify you by email if we have your address on file, and will post a notice on the Service at least thirty (30) days before the changes take effect, except where changes are required immediately for legal compliance or security reasons.


2. What Equaticket Is (and Isn't)

Equaticket provides the software that event organizers use to create event listings and sell tickets. Here is what that means for you as a buyer:

What Equaticket does: We provide the platform that delivers your ticket, processes payment through Stripe, and supports the organizer's check-in and refund tools.

What Equaticket does not do:

  • We are not the seller of tickets or the merchant of record for any ticket sale. Your transaction is with the event organizer.
  • We are not a ticket reseller, broker, or marketplace.
  • We do not hold your payment funds — all funds flow directly from you to the organizer's Stripe account.
  • We do not own, control, or endorse any events on the platform.
  • We are not responsible for event production, admission, security, accessibility compliance, permits, insurance, or venue operations.

Organizers who use Equaticket have agreed to their own Terms of Service, which include obligations to buyers — including maintaining accurate event information, displaying their refund policy before purchase, and remaining responsible for refunds, cancellations, and event fulfillment. These organizer obligations are enforceable by Equaticket, not directly by you as a buyer; however, you retain all remedies available to you under applicable law.


3. Your Protections as a Buyer

Even though your ticket contract is with the event organizer, Equaticket maintains the following platform-level protections for you:

  • Your original ticket email always sends. Your ticket delivery and order confirmation emails are sent regardless of the organizer's account status or email usage limits. (Ticket resend requests made after delivery may be unavailable if the organizer has reached their email limits — see Section 5.4.)
  • Check-in remains available during organizer pause or billing lapse. Equaticket does not disable check-in functionality due to the organizer's subscription status, subject to normal technical availability of the Service.
  • Your purchase is never blocked by the organizer's plan limits. If an event is already published, Equaticket will not block your purchase because of the organizer's subscription tier or usage limits.
  • Refund functionality is not disabled during organizer pause or billing lapse. Equaticket does not shut off refund functionality for previously sold tickets if the organizer's account pauses or lapses, though actual refund completion still depends on organizer action, Stripe, and your financial institution.
  • We will notify you if an event is suspended or removed. If Equaticket suspends or removes an event listing for which you hold a ticket, we will make commercially reasonable efforts to notify you and direct you to the organizer for information about your ticket status.

4. Eligibility

You may purchase tickets through the Service only if you are legally permitted to do so in your jurisdiction. If you are under the age of majority in your jurisdiction, your purchase must be made or authorized by a parent or legal guardian.

The Service is not directed to children under the age of 13, and individuals under 13 may not use the Service in any capacity.

If a minor makes an unauthorized purchase, the parent or guardian should contact the event organizer about the purchase and, if applicable, initiate a dispute through their financial institution.


5. Your Purchase

5.1 Transaction with the Organizer

When you purchase a ticket through the Service, your contract for the ticket is with the event organizer. Equaticket facilitates the technology for the transaction but is not a party to the sale. Any questions about the event — including its content, policies, changes, or cancellation — should be directed to the organizer.

Organizers have agreed to Equaticket's Organizer Terms of Service, which require them to maintain accurate contact information, display their refund policy before purchase, and fulfill their obligations to ticket holders.

5.2 Payment Processing

Payments are processed by Stripe. When you complete a purchase, you are redirected to a hosted Stripe Checkout page. Equaticket does not store your payment card information — all payment data is handled exclusively by Stripe. At this time, credit and debit card payments are supported.

Equaticket does not add surcharges or markup on payment processing fees. Any payment processing fees are charged by Stripe directly.

5.3 Ticket as Revocable License

Your ticket is permission to attend the event — it is not property you own. The organizer or venue can revoke this permission if you violate their rules. Revocation does not entitle you to a refund unless the organizer's policy or applicable law says otherwise.

5.4 Ticket Delivery

Your ticket is delivered electronically via email and includes a QR code for check-in at the event. Please ensure you provide a valid email address at checkout — your ticket delivery and order confirmation emails will always be sent to the address you provide.

Equaticket is not responsible for tickets lost due to an incorrect email address provided by you.

Duplicate, altered, copied, or fraudulently obtained tickets may be voided by the organizer.

If you don't receive your ticket email:

  1. Check your spam and promotions folders first.
  2. Use the ticket resend feature: return to the event page and look for a "Resend my ticket" or "Find my ticket" option. We'll send a new copy to your email address via a magic link.
  3. Contact the organizer using the contact information on the event page.
  4. If you still need help, contact Equaticket support at support@equaticket.com.

Note on ticket resends: Ticket resend emails may occasionally be unavailable if an organizer has reached their email usage limits, though your original ticket delivery email will always have been sent. If you cannot access your resend, please contact Equaticket support.

5.5 Ticket Transfers

Whether you may transfer a ticket to another person depends on the organizer's event policy. Review the event listing for transfer or resale rules before purchasing. Personal transfers permitted by the organizer are generally allowed; scalping or resale in violation of the organizer's terms is prohibited under Section 7.4.


6. Refunds and Cancellations

6.1 Organizer Refund Policies

Each organizer sets their own refund policy for their events. Organizers are required to display their refund policy on the event listing before you purchase. An organizer's policy may state "no refunds," but it must be disclosed.

Regardless of an organizer's stated refund policy, applicable consumer protection laws in your jurisdiction may provide you with additional rights that cannot be contractually waived.

6.2 How Refunds Work

Refunds are initiated by the organizer through their dashboard and processed by Stripe back to your original payment method. Refund timelines depend on Stripe and your financial institution — typically 5–10 business days. Equaticket does not independently process refunds, as we do not hold your funds.

If an organizer's subscription is paused or their account has lapsed, refund processing continues for previously sold tickets.

At this time, only full-ticket refunds are available. Partial refunds are not supported — a refund corresponds to one cancelled ticket.

6.3 If a Refund is Owed and Not Issued

Equaticket is not obligated to issue, adjudicate, or guarantee refunds — refund responsibility rests with the organizer. That said, here is what to do if you believe a refund is owed and the organizer hasn't responded:

  1. Contact the organizer first using the contact information on the event page or in your order confirmation.
  2. If the organizer does not respond, contact Equaticket support. We will make reasonable efforts to facilitate communication between you and the organizer and to confirm whether the event's refund policy was properly disclosed. Equaticket's support role is limited to platform assistance and communication facilitation — we do not adjudicate refund disputes or issue refunds ourselves.
  3. You also retain the right to dispute the charge through your financial institution (see Section 6.5) or to contact applicable consumer protection agencies in your jurisdiction.

If no refund policy was displayed on the event listing at the time of purchase, you may reasonably expect a full refund if the event is cancelled.

6.4 Event Changes and Cancellations

Equaticket does not guarantee that events will occur as published. Events are managed by organizers, and any changes to date, time, venue, or cancellation are the organizer's responsibility. Direct all inquiries about event changes to the organizer.

Equaticket is not responsible for travel, lodging, or other incidental costs arising from event changes or cancellations.

6.5 Chargebacks

Chargebacks are a legitimate remedy available through your financial institution. If you initiate a chargeback, it is handled between you, your financial institution, and the organizer's Stripe account. A chargeback does not create any additional obligation for Equaticket to refund, adjudicate, or resolve the dispute. Equaticket does not penalize buyers for initiating good-faith chargebacks, though we reserve the right to address patterns of fraudulent or abusive dispute behavior.


7. Event Attendance

7.1 Your Responsibilities as an Attendee

You are responsible for:

  • Providing a valid email address at checkout.
  • Retaining your ticket confirmation and QR code.
  • Reviewing the organizer's event details, refund policy, and venue rules before purchasing.
  • Arriving at the event in accordance with the organizer's and venue's entry requirements.

7.2 Assumption of Risk

Live events may carry inherent risks, including but not limited to risk of illness, bodily injury, property damage, or other harm arising from event activities, crowd conditions, venue conditions, or the actions of other attendees. By purchasing a ticket and attending an event, you voluntarily assume all such risks. Equaticket is not responsible for any injury, loss, or damage arising from your attendance at any event listed through the Service.

This assumption of risk does not limit any rights you may have against the event organizer, venue, or other responsible parties, and does not apply to any injury or harm caused by Equaticket's own negligence or willful misconduct.

7.3 Admission

The organizer or venue may refuse admission to, or remove, an attendee for violation of event or venue rules, without creating any liability for Equaticket.

7.4 Prohibited Conduct

You may not use the Service to:

  • Purchase tickets for fraudulent purposes, or for resale or scalping in violation of the event organizer's terms.
  • Submit false or misleading information at checkout.
  • Attempt to exploit, circumvent, or abuse the ticketing system, including submitting duplicate orders or fraudulent payment information.
  • Use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party's use.

8. Your Data and Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. When you check out, we collect your name and email address to deliver your ticket and notify you of order-related updates.

Data roles: The event organizer is responsible for how your event and ticket information is used in connection with their event — data subject requests related to your event or ticket (such as requests for access or deletion) should be directed to the organizer. Equaticket separately handles certain data — such as support requests, fraud prevention, and platform operations — under its own Privacy Policy; data requests related to Equaticket's own processing can be directed to us at privacy@equaticket.com. If you are unsure whether your request relates to the organizer's processing or Equaticket's own processing, you may contact either party and we will use reasonable efforts to direct your request appropriately. Some ticket emails may arrive from the organizer's own email domain rather than an Equaticket sender address — this occurs when the organizer has configured a custom sending domain.

What happens if an organizer deletes their account: If an event organizer permanently deletes their Equaticket account, your order and ticket records associated with that organizer's events are retained by Equaticket for legal, financial, and compliance purposes (including chargeback support and tax obligations) in anonymized form for up to seven (7) years. Your personal information (name and email address) within those records is anonymized upon the organizer's account deletion, meaning it is no longer associated with your identity in our systems. Consent records and transaction records are retained as described in our Privacy Policy. This retention is separate from any data the organizer may have exported or stored outside of Equaticket, which is subject to the organizer's own data practices.

Data security: Equaticket implements commercially reasonable technical and organizational security measures to protect your data. No method of electronic transmission or storage is 100% secure. In the event of a data breach involving your information, we will notify affected parties as required by applicable law.

California residents may have additional rights under the CCPA/CPRA — please see our Privacy Policy for details.


9. Feedback

If you submit feedback, suggestions, or ideas about the Service to Equaticket through any channel (including support communications, surveys, or social media), you grant Equaticket a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and incorporate such feedback into the Service or Equaticket's other products and services, without any obligation of compensation or attribution to you. This does not affect your ownership of your personal data, which is governed by our Privacy Policy.


10. Intellectual Property

The Service, including all software, design, trademarks, logos, and content created by Equaticket, is owned by Equaticket and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it to purchase and access tickets in accordance with these Terms.


11. Disclaimers

What we can't promise:

  • That events will occur as scheduled or as described — events are managed by organizers.
  • Organizer solvency, event performance, or buyer reimbursement.
  • That ticket emails will reach every inbox — delivery depends on third-party email infrastructure, spam filters, and your email provider. (Your ticket delivery email is always sent; whether it reaches your inbox depends on factors outside our control.)
  • Uninterrupted operation of third-party services, including Stripe or email providers.
  • Compatibility with all devices, browsers, or email clients.

The Service is provided on an "as is" and "as available" basis. Equaticket uses commercially reasonable efforts to maintain availability but does not guarantee that the Service will be uninterrupted or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUATICKET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Equaticket is not liable for:

  • Any acts or omissions of organizers, including event cancellations, changes, or failures to fulfill events.
  • Any loss arising from Stripe's processing of payments, Stripe's terms and policies, or any Stripe actions.
  • Travel, lodging, or other incidental costs arising from event changes or cancellations.
  • Chargebacks, payment disputes, or reversed payments.
  • Spam filtering, email non-delivery, or email delivery delays.
  • Outages or performance issues in third-party infrastructure.
  • Any injury, illness, property damage, or other harm arising from your attendance at an event.

IN NO EVENT SHALL EQUATICKET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID IN CONNECTION WITH YOUR PURCHASE, OR (B) ONE HUNDRED DOLLARS ($100).

The liability cap and exclusions above do not apply to liability arising from Equaticket's gross negligence, willful misconduct, or fraud.

In plain terms: if something goes wrong that Equaticket is responsible for, the most we owe you is the amount you paid for your tickets or $100, whichever is higher — except where the law doesn't allow that limit.


13. Time Limit on Claims

Any claim or cause of action you may have against Equaticket arising out of or related to these Terms or the Service must be brought within one (1) year after the claim or cause of action first accrues. Claims not brought within this period are permanently waived and barred, to the maximum extent permitted by applicable law. This provision applies only to claims against Equaticket and does not affect or shorten any rights you may have against the event organizer or any other third party.


14. Indemnification

Buyer indemnification has been intentionally omitted from these Terms. This is a confirmed policy decision, not a drafting gap.

The rationale: consumer indemnification clauses face significant enforceability challenges under Texas Business & Commerce Code §17.42 (DTPA), which renders consumer waivers of statutory protections generally void unless narrow statutory conditions — not met by a standard click-through TOS — are satisfied. Broad buyer indemnification language also creates trust and conversion risk in a consumer-facing ticket purchase context. The prohibited conduct provisions (Section 7.4), chargeback provisions (Section 6.5), and account controls available to Equaticket provide adequate operational protection against fraud and platform abuse without a self-executing consumer indemnification obligation.


15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal dispute resolution, please contact us at legal@equaticket.com and attempt to resolve any dispute informally. We ask that you give us at least thirty (30) days to respond before pursuing formal proceedings.

15.2 Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Agreement to Arbitrate. Except as described below, you and Equaticket agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the enforceability, scope, or applicability of this arbitration agreement — will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The AAA Consumer Arbitration Rules are available at www.adr.org. Judgment on any arbitration award may be entered in any court with jurisdiction.

Individual Proceedings Only. Arbitration proceeds on an individual basis only. You and Equaticket each waive the right to bring or participate in any class action, collective action, or representative proceeding — whether in arbitration or in court — to the fullest extent permitted by applicable law. You and Equaticket each waive the right to a jury trial for any dispute covered by this section. This arbitration agreement is intended to preserve individualized dispute resolution and reduce exposure to aggregated consumer litigation.

Small Claims Carveout. Either party may bring an individual claim in a court of competent jurisdiction for small claims disputes within the applicable jurisdictional limit. In Texas, justice courts handle small claims up to twenty thousand dollars ($20,000). This small-claims option is available only for individual claims and does not permit class or representative proceedings.

Injunctive Relief Carveout. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent immediate, irreparable harm, without waiving the right to arbitrate the underlying claim.

California Public Injunctive Relief. Notwithstanding any other provision of this arbitration agreement, nothing in this agreement prevents you from seeking public injunctive relief in a court of competent jurisdiction under applicable California law, to the extent such relief is available and not subject to arbitration under California law. Any claim for such public injunctive relief may proceed in court; all other claims — including any claims for individual damages, restitution, or individual injunctive relief — remain subject to individual arbitration under this agreement. The severability provisions of this agreement apply to this carveout: if this paragraph is found unenforceable, the remaining provisions of this arbitration agreement continue in full force.

Arbitration Costs. Under AAA Consumer Arbitration Rules, your filing fee is capped and fee waivers may be available for qualifying individuals. Equaticket will pay all remaining AAA administrative fees and arbitrator compensation for disputes covered by the Consumer Arbitration Rules. If the AAA determines that a dispute is not subject to its Consumer Arbitration Rules, each party bears its own costs unless otherwise required by law.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@equaticket.com within sixty (60) days of the date you first agree to these Terms. Your notice must include your name, the email address associated with your purchase, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Travis County, Texas, and you and Equaticket each consent to personal jurisdiction there. Opting out of arbitration does not affect any other part of these Terms.

Severability. If any part of this arbitration agreement is found unenforceable, the remaining parts will continue to apply. If the class action waiver is found unenforceable with respect to a particular claim, that claim — and only that claim — may proceed in court as a class action, with all other claims remaining subject to arbitration.


16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. Any legal proceedings shall be brought exclusively in the state or federal courts located in Travis County, Texas.


17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Equaticket with respect to your use of the Service as a buyer and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver. The failure of Equaticket to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies on any third party.

Force Majeure. Equaticket shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control (events of force majeure), including natural disasters, acts of government, pandemics, internet failures, or third-party service outages. For the avoidance of doubt, a force majeure event affecting Equaticket's infrastructure does not by itself release the event organizer from their obligations to you as a ticket holder — the organizer remains responsible for event fulfillment, cancellation notices, and refunds in accordance with their refund policy and applicable law.

Independent Contractors. Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and Equaticket.
